These Terms and Conditions of Sale (the “Terms”) govern the sale of products offered by WADI BABY through the Website (the “Products”) to any person purchasing Products for purposes that are wholly or mainly outside their trade, business, craft or profession (the “Customer”).
The Terms applicable to an order are those in force at the time the order is placed.
By placing an order through the Website, the Customer acknowledges having read and accepted these Terms before completing the purchase.
WADI BABY reserves the right to amend these Terms at any time. Any amendments shall apply only to orders placed after the updated Terms have been published on the Website.
ARTICLE 2 – PRODUCTS
WADI BABY offers a range of textile products and accessories designed for babies and children (the “Products”).
The essential characteristics of each Product are presented on the relevant Product page.
WADI BABY makes every reasonable effort to ensure that descriptions, photographs, colours, dimensions and other information displayed on the Website are as accurate as possible.
However, photographs and visual representations are provided for illustrative purposes only. In particular, colours may vary slightly depending on the Customer’s screen settings, lighting conditions or production batches.
Minor variations inherent to textile products, including in colour, dimensions, stitching, embroidery or finishing, shall not constitute a defect provided that they do not materially affect the normal use or essential characteristics of the Product.
The Customer is responsible for reviewing the Product description and any care or safety instructions before use.
ARTICLE 3 – AVAILABILITY
Products are offered for sale subject to availability.
WADI BABY reserves the right to modify its product range or discontinue a Product at any time.
If a Product becomes unavailable after an order has been placed, WADI BABY shall inform the Customer as soon as reasonably possible.
Where payment has already been collected for a Product that cannot be supplied, the corresponding amount shall be refunded using the original payment method, unless another solution has expressly been agreed with the Customer.
ARTICLE 4 – ORDERS
The Customer selects the Product(s) they wish to purchase and adds them to their cart.
Before confirming the order, the Customer is responsible for checking the contents of the cart, the quantities ordered, the delivery information provided, the applicable delivery charges and the total price.
The Customer shall provide complete and accurate information required for the processing and delivery of the order.
The order becomes binding once the Customer has completed the checkout process, accepted these Terms and successfully submitted payment, subject to acceptance of the order by WADI BABY.
An order confirmation shall be sent electronically to the email address provided by the Customer.
WADI BABY reserves the right to refuse or cancel an order where there is a legitimate reason to do so, including suspected fraud, payment issues, manifest pricing errors, abnormal quantities, Product unavailability or incomplete or inaccurate information preventing fulfilment of the order.
If an order that has already been paid is cancelled by WADI BABY, the corresponding amount shall be refunded.
Once an order has entered the preparation or dispatch process, it may no longer be possible to cancel or modify it. In such circumstances, the Customer may exercise any applicable return or cancellation rights after delivery in accordance with these Terms and applicable law.
ARTICLE 5 – PRICES, PROMOTIONS AND DISCOUNT CODES
Product prices are displayed on the Website in the currency indicated at checkout.
Unless otherwise stated, the price applicable to an order is the price displayed at the time the order is confirmed.
Delivery charges, where applicable, shall be indicated separately before the Customer completes the order.
WADI BABY reserves the right to change its prices at any time. Such changes shall not affect orders already confirmed, except in the event of a manifest pricing error.
In the event of an obvious pricing or technical error, WADI BABY reserves the right, to the extent permitted by applicable law, to cancel the affected order and refund any amount already paid.
WADI BABY may offer promotional prices, discounts or promotional codes from time to time. Unless otherwise stated, promotional offers are valid for the period and under the conditions specified at the time of the offer and may not be combined with other promotions.
For international orders, customs duties, import taxes, local taxes, clearance fees or other charges may be imposed by the authorities of the destination country.
Unless expressly stated otherwise at checkout, such charges are not included in the Product price or delivery charges and remain the responsibility of the Customer.
WADI BABY has no control over charges imposed by foreign customs, tax authorities or carriers acting in connection with customs clearance and cannot guarantee their amount.
The Customer is responsible for obtaining any information required regarding the importation of the Products into the destination country before placing an order.
ARTICLE 6 – PAYMENT
Payment shall be made using one of the payment methods made available on the Website at checkout.
Payments may be processed through Stripe or any other payment service provider made available by WADI BABY from time to time.
The Customer warrants that they are authorised to use the payment method selected.
WADI BABY does not directly store the Customer’s complete payment card details where payment is processed by an independent payment service provider.
An order may be suspended or cancelled in the event of refused payment, suspected fraud or any other payment incident.
ARTICLE 7 – DELIVERY
WADI BABY delivers within the United Arab Emirates and may offer international delivery to destinations made available through the Website.
The availability of delivery to a particular country or territory may vary. WADI BABY reserves the right to add, restrict or discontinue delivery to any destination at any time, including where logistical, regulatory, customs or operational constraints make delivery impracticable.
Products may be dispatched from the United Arab Emirates or from any other warehouse, fulfilment centre or logistics facility used by WADI BABY.
The applicable delivery options, estimated delivery times and delivery charges shall, where applicable, be communicated to the Customer before the order is confirmed.
Delivery charges may vary depending on the destination, delivery method, order size, weight or any other relevant logistical factor.
Delivery times are estimates unless expressly stated otherwise.
WADI BABY shall make reasonable efforts to ensure that orders are prepared and dispatched within the indicated timeframes. However, international deliveries may be affected by customs procedures, carrier delays, public holidays, exceptional events or circumstances beyond WADI BABY’s reasonable control.
The Customer must provide complete and accurate delivery information.
WADI BABY shall not be responsible for delays or additional costs resulting from incorrect, incomplete or outdated information supplied by the Customer, to the extent permitted by applicable law.
Where a parcel is returned because of an incorrect or incomplete address, failure to collect the parcel, refusal of delivery or any other circumstance attributable to the Customer, any reasonable costs associated with the return or reshipping of the order may be charged to the Customer or, where permitted by applicable law, deducted from any refund due.
ARTICLE 8 – CUSTOMS AND REFUSAL OF INTERNATIONAL DELIVERIES
For international deliveries, the Customer may be required to pay customs duties, import taxes, local taxes, clearance fees or other charges before the parcel can be delivered.
Unless expressly stated otherwise at checkout, such charges remain the responsibility of the Customer.
If the Customer refuses or fails to accept an international delivery because customs duties, import taxes or other charges are payable, the parcel may be returned to WADI BABY.
Where permitted by applicable law, WADI BABY may deduct from any refund the reasonable costs actually incurred as a result of such refusal or failure to accept delivery, including return shipping, customs, clearance or carrier charges.
Any refund shall be processed once the returned parcel has been received and assessed by WADI BABY or its logistics provider.
Nothing in this Article shall affect any mandatory rights available to the Customer under applicable consumer law.
ARTICLE 9 – RECEIPT OF THE ORDER
The Customer is invited to inspect the parcel and Products upon delivery.
If a Product is damaged, defective, incomplete or does not correspond to the order, the Customer should contact WADI BABY as soon as reasonably possible at contact@wadi-baby.com, providing the order number and, where appropriate, photographs or other information reasonably necessary to assess the issue.
If a parcel is shown by the carrier as delivered but has not been received by the Customer, the Customer should contact WADI BABY as soon as reasonably possible.
WADI BABY may initiate an investigation with the carrier or logistics provider and may request reasonable information from the Customer in order to investigate the delivery.
The outcome of any claim shall be determined in light of the circumstances, available delivery evidence and applicable consumer law.
Nothing in this Article limits any statutory rights available to the Customer.
ARTICLE 10 – RETURNS
Without prejudice to any mandatory rights available under applicable law, WADI BABY offers Customers the possibility to return eligible Products within fourteen (14) days from the date of delivery.
To exercise this right, the Customer must notify WADI BABY of their intention to return a Product by contacting contact@wadi-baby.com within the applicable fourteen-day period.
WADI BABY shall provide the Customer with the appropriate return instructions and return address.
Products must not be returned to an address other than the return address communicated by WADI BABY.
To be eligible for a return, the Product must be returned in its original condition, unused, unworn and unwashed, and must not have been damaged or altered after delivery.
For a return resulting solely from a change of mind, the Customer shall bear the direct cost of returning the Product, unless WADI BABY expressly agrees otherwise or applicable mandatory law provides otherwise.
The Customer is responsible for appropriately packaging the returned Product and should retain reasonable evidence that the return has been sent. The use of a tracked shipping method is strongly recommended.
WADI BABY reserves the right, to the extent permitted by applicable law, to refuse return requests that are fraudulent or manifestly abusive.
The above contractual return policy does not restrict any mandatory statutory right to cancel, return, replace or obtain a refund that may apply to the Customer under the law applicable to their purchase.
ARTICLE 11 – DEFECTIVE, DAMAGED OR INCORRECT PRODUCTS
If the Customer receives a Product that is defective, damaged upon delivery or different from the Product ordered, they should contact WADI BABY as soon as reasonably possible.
The Customer may be asked to provide photographs and relevant information reasonably necessary to allow WADI BABY to assess the issue.
Where the claim is justified, WADI BABY shall provide an appropriate remedy, which may include replacement, refund or any other remedy required by applicable law.
Where WADI BABY requests the return of a defective, damaged or incorrectly supplied Product, reasonable return shipping costs shall be borne by WADI BABY in accordance with the instructions provided to the Customer.
Nothing in these Terms excludes or limits the Customer’s statutory rights in respect of defective or non-conforming goods.
ARTICLE 12 – REFUNDS
Where a refund is due, WADI BABY shall process it using the original payment method wherever reasonably possible.
Refund processing times may vary depending on the Customer’s bank, card issuer or payment provider.
In the case of a return resulting solely from a change of mind, original delivery charges and return costs shall be treated in accordance with the mandatory law applicable to the Customer’s purchase.
WADI BABY reserves the right, to the extent permitted by applicable law, to refuse or reduce a refund where a returned Product does not comply with the return conditions set out above, particularly where it has been used, worn, washed, damaged or altered by the Customer.
This provision shall not affect rights relating to defective or non-conforming Products.
ARTICLE 13 – USE AND CARE OF PRODUCTS
The Customer must use and care for Products in accordance with the instructions supplied with the Product, displayed on its label or made available on the Website.
WADI BABY shall not be responsible for deterioration resulting from normal wear and tear, improper washing or drying, failure to follow care instructions, misuse, negligence or use of the Product for a purpose for which it was not intended, except where liability cannot lawfully be excluded.
Products intended for babies and children must always be used appropriately and under suitable adult supervision.
ARTICLE 14 – LIABILITY
WADI BABY shall perform its obligations with reasonable care and skill.
To the fullest extent permitted by applicable law, WADI BABY shall not be liable for indirect or consequential losses that were not reasonably foreseeable at the time the order was placed.
WADI BABY shall not be responsible for any failure, interruption or delay resulting from circumstances beyond its reasonable control, including disruptions affecting transport, customs, communications networks, internet services, the Website, payment systems, payment service providers, warehouses, carriers, logistics providers or other third-party services necessary for the operation of the Website or fulfilment of orders.
WADI BABY shall not be responsible for temporary unavailability of the Website resulting from maintenance, technical incidents or circumstances outside its reasonable control.
Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including any mandatory rights available to consumers.
ARTICLE 15 – INTELLECTUAL PROPERTY
The Website and all elements contained therein, including without limitation the WADI BABY name and trademarks, logos, photographs, illustrations, graphics, designs, texts, videos and other content, are protected by applicable intellectual property laws.
Unless expressly authorised in writing by WADI BABY, no content from the Website may be reproduced, copied, distributed, modified, exploited or used for commercial purposes.
Purchasing a Product does not grant the Customer any intellectual property rights relating to WADI BABY or the Website.
ARTICLE 16 – PERSONAL DATA
Personal data collected in connection with orders and use of the Website is processed in accordance with WADI BABY’s Privacy Policy, available on the Website.
Payment, delivery and fulfilment may require certain personal data to be shared with payment processors, logistics providers, warehouses, carriers and other service providers involved in processing the Customer’s order.
ARTICLE 17 – FORCE MAJEURE AND EVENTS BEYOND WADI BABY’S CONTROL
WADI BABY shall not be liable for any delay or failure to perform its obligations resulting from an event beyond its reasonable control.
Such events may include, without limitation, natural disasters, extreme weather conditions, epidemics, pandemics, war, civil unrest, governmental measures, customs restrictions, strikes, transport disruption, interruption of telecommunications or payment systems, fire, flood or disruption affecting suppliers, warehouses or logistics providers.
WADI BABY shall make reasonable efforts to minimise the effects of such circumstances and resume performance as soon as reasonably practicable.
ARTICLE 18 – GOVERNING LAW – CONSUMER RIGHTS – DISPUTES
These Terms and any contractual relationship arising from purchases made through the Website shall be governed by the laws applicable in the United Arab Emirates.
However, if the Customer is a consumer residing outside the United Arab Emirates, nothing in these Terms shall deprive the Customer of any mandatory consumer protection rights granted by the laws applicable in their country of residence where such rights apply irrespective of the chosen governing law.
In the event of a complaint or dispute relating to an order or these Terms, the Customer is invited to contact WADI BABY first at contact@wadi-baby.com in order to seek an amicable resolution.
The Parties shall endeavour in good faith to reach an amicable solution before commencing judicial proceedings, where appropriate.
Failing an amicable resolution, the dispute may be submitted to the competent courts in accordance with applicable law.
Nothing in this Article prevents a consumer from bringing proceedings before any court having mandatory jurisdiction under applicable consumer protection law.
